Terms of Service
The agreement between you and LexShield governing your use of the platform. Please read it carefully — it includes important disclaimers and a limitation of liability.
These Terms of Service (“Terms”) are a legal agreement between you and Joticle, Inc. (“LexShield,” “we,” “us,” or “our”), which operates mylexshield.com and the LexShield application (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
The Service is intended for licensed attorneys and their staff. By using it you represent that you are at least 18 years old and, where you use the Service on behalf of a law firm or organization, that you are authorized to bind that entity to these Terms.
You are responsible for your account credentials and for all activity under your account. Keep your password secure, enable a passkey where available, and notify us promptly of any unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials.
2. The Service
LexShield provides practice-management and compliance-tracking tools for attorneys, which may include client and matter management, trust-account (IOLTA) accounting and reconciliation, CLE tracking, conflict checking, deadline and calendar management, and related features. We may add, change, or remove features over time.
3. Not legal advice
LexShield is a software tool, not a law firm, and does not provide legal advice.
The Service’s compliance features, bar-rule information, deadlines, and calculations are provided for informational purposes only and may be incomplete or inaccurate. You remain solely responsible for your professional and ethical obligations, including verifying compliance requirements, trust-account obligations, and deadlines with your state bar and applicable rules. Do not rely on the Service as a substitute for your own professional judgment.
4. Plans, fees & billing
- Free tier. We offer a free plan with limited features. We may change the limits of the free plan over time.
- Paid subscriptions. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe, and automatically renew at the end of each billing period unless cancelled beforehand.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds. Except where required by law, fees already paid are non-refundable.
- Price changes. We may change subscription prices with advance notice; changes take effect at your next renewal. Any promotional or founding-member pricing is governed by the terms of that specific offer.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
5. Bank connections & Plaid
If you use the optional feature to connect a bank account and check a trust-account balance, that connection is provided through Plaid Inc. Your use of it is also subject to Plaid’s End User Privacy Policy. You authorize LexShield and Plaid to access and use the account information you connect as described in our Privacy Policy. Balance information is provided for your reference and does not replace your own trust-account records or reconciliation obligations.
6. AI features
The Service may include AI-assisted features that generate responses to your questions. AI output can be incomplete or incorrect, is provided for informational purposes only, does not constitute legal advice, and should be independently verified before you rely on it.
7. Your content & data
You retain all rights to the information and content you submit to the Service (“Your Content”), including data about your clients and matters. You grant us a limited license to host, process, and transmit Your Content solely to provide and support the Service.
You are responsible for Your Content and for having the rights and any necessary consents to submit it, including client information. You are responsible for your own professional obligations of client confidentiality. Our handling of personal information is described in our Privacy Policy.
8. Acceptable use
You agree not to:
- use the Service in violation of any law or the rules of professional conduct;
- upload data you do not have the right to use, or malicious code;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- probe, scan, or circumvent security or authentication measures except as expressly permitted;
- reverse engineer, copy, resell, or create derivative works of the Service; or
- scrape, overload, or interfere with the integrity or performance of the Service.
9. Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by LexShield and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
10. Third-party services
The Service relies on third-party providers, including Stripe (payments), Plaid (bank connectivity), Anthropic (AI), Microsoft Azure (key management), and SmarterASP.NET (hosting). Your use of features powered by these providers may be subject to their terms, and we are not responsible for their acts or omissions.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL ENSURE YOUR COMPLIANCE WITH ANY LEGAL, ETHICAL, OR BAR OBLIGATION.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXSHIELD AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROFESSIONAL STANDING, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless LexShield and its affiliates from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive. Data handling after termination is described in our Privacy Policy.
15. Changes
We may modify these Terms from time to time. When we do, we will update the “Last updated” date and, for material changes, provide more prominent notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there, except where applicable law provides otherwise.
17. Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and LexShield regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
